Irish registered office requirements: a practical checklist

A registered office is more than a mailing label. It is the official location recorded for a company, so its practical arrangements must support the company’s obligations.

The address must be in Ireland

An Irish company must maintain a registered office in the State. The CRO requires a physical location rather than a post office box. The address needs to be sufficiently clear for postal delivery and delivery by hand.

Before you file an address, confirm the provider has agreed to its use by your exact company. Do not use an address copied from a website or another business without an appropriate arrangement.

Official correspondence must reach you

Your company needs a reliable process for receiving and acting on official post. Forwarding arrangements should identify the recipient, the destination, the frequency and how urgent correspondence is handled. Someone needs to remain responsible for checking the mail and dealing with it.

Ask how the provider handles letters requiring a signature and what happens when the authorised recipient is unavailable. A forwarding destination should be kept up to date whenever you move.

Think about company records and inspection

Companies have obligations concerning the location and inspection of statutory registers and other records. Some records may be maintained elsewhere subject to the appropriate requirements and notifications. An address-only package should not be assumed to include storage or inspection arrangements for every statutory record.

Check the CRO guidance on register locations and agree the arrangements with your company secretary or professional adviser.

Registered Office Agent is a specific status

A CRO-approved Registered Office Agent is a particular arrangement. It is not a description that applies automatically to every virtual address provider. Ask which entity is delivering the service and whether you are using an approved agent arrangement or a different permitted arrangement.

Questions to send your provider

  1. Is this a physical Irish address suitable for our company’s intended registered-office use?
  2. Can official correspondence be delivered by post and by hand?
  3. Who receives the post and how does it reach us?
  4. What arrangements apply to records, inspection and access?
  5. Which entity provides the service, and what authorisation or supervision applies?
  6. What happens if we change provider, cancel or fail to renew?

When your address changes

The CRO requires notification of a registered-office change on Form B2 within 14 days. Confirm the new arrangement first, then complete the filing and update correspondence details. Our guide to changing a registered office provides an administrative checklist.

Registered-office suitability depends on the allocated address and service agreement. Confirm the arrangement before using a virtual address on a CRO filing.
